I sat down recently with a long-time owner of a pool and spa business. About forty employees. Three decades in. He hadn't taken an offer yet. The broker had pegged the business at a three to four times multiple.

We ran the math after taxes. What he'd actually walk away with came out to about two years of his current income. Three decades of work. Two years.

And that number assumes he keeps living the way he lives today. Most operators run a lot of personal benefits through the business. The vehicle, the fuel, the insurance, the phone. Every dollar of owner benefit comes out of EBITDA when the books get cleaned for diligence, which drops the multiple. And every dollar of owner benefit becomes an out-of-pocket cost the day after the sale.

The multiple is low because the business runs through him. The broker isn't pricing the business. He's pricing the version of the business where every important decision still touches the owner's desk.

I scaled an Amazon business to twenty million. Then I almost lost it on a Tuesday.

I built an Amazon business called LeisureQuip. Hot tub chemicals, pool supplies, the unglamorous side of the industry my dad spent his life in. Thirty to forty thousand dollars a day in revenue, almost all of it through one Amazon account.

One Tuesday morning, Amazon suspended my account because I missed a twenty-four-hour window to verify a phone number. The account went dark for seven days. During the same week, I owed two million dollars to a key supplier and my CPA had just forecast a one-point-five million dollar tax bill.

I got the account back. LeisureQuip still runs today, scaled down to a size that doesn't need me there every day. But that week taught me what no spreadsheet ever could. A concentrated business can take everything you built. And the structure of where the proceeds eventually land matters as much as the multiple you sell for.
